Memorandum of Association and Regulation
12. Special Powers of the Governing Body.
12.1 The Regional Executive
Committee shall have powers to take decisions and
frame Rules and
Regulations as it considers necessary from time to
time in
respect of matters not
provided herein.
12.2 If any difficulty arises in
giving effect to the provisions of these Rules,
the
Governing
Body may take such decisions as
it considers necessary or
expedient for the purpose
of removing such difficulty.
13. Formation of Committees and
Sub-committees :
The Governing Body may appoint
committees or sub-committees for such term
and purpose as
it considers fit and
assign such powers, duties and
responsibilities to such Committee
and sub-committees.
14. Appointment of Advisors /
Consultants :
The Governing Body may appoint
any person / persons as advisors / consultants
as it considers proper for such
specific purpose as decided from time to time.
15. Terms of Office :
15.1 Period : All the office Bearers
and other members of Governing Body shall
hold their office until
retirement but the tenure of the body will be one year.
15.2 Vacancy : In case of a vacancy arising in the Governing
Body, the vacancy will
be filled up from
among the other members and all the above
vacancies, such
filled, shall be
for the residual period of the members consumed.
15.3 Retirements : Members of the Governing Body, who are
once appointed may
retire at any
time at his / her will. New members
and office bearers of the
Governing Body will be
selected by the Governing Body in their next meeting.
16. Meetings :
16.1 Meeting - Place :
All meetings of
the General Body shall be held in
Kolkata. Meetings of the
Governing Body may
be held in Kolkata / New Delhi or any
other town or
location in India.
16.2 Meetings - How Often :
(i) The General
Body shall meet al least once a year known as Annual General
Body Meeting and it shall normally be held within six (6) months
from the end
of the accounting year.
(ii) The Governing Body
shall normally meet at least once six months, or as often
as may be necessary.
(iii) The Regional
Executive Committee shall normally meet every quarter,
as far
as possible.
16.3 Meeting - Notice for :
(i) There shall be 15
days clear notice for meetings of the General Body.
(ii) There shall be seven days
clear notice for the meetings of the Governing Body
/
Executive Committee.
For special meetings, the
period of notice may be reduced as follows
with the
permission of the President.
(i) Seven days clear notice for
meetings of the General Body.
(ii) Four days clear
notice for the meetings of the
Governing Body / Executive
Committee.
Notice for meetings can be sent by
fax or e-mail also and they shall be valid.
16.4 Meeting - Nature of Business :
(i)
General Body - The Annual General Body Meeting shall consider
the Annual
audited Accounts and Audit report and the yearly budget; and to
recommend
policy and programs to the Governing Body.
(ii) Governing Body : The
Governing Body shall meet to review
and plan the
the activities of the Federation to examine the periodical accounts;
to prepare
the annual budget.
16.5 Meeting - Quorum for :
(i) For the
annual meetings of the General Body the quorum shall be one tenth of
the number of eligible members on the rolls for the time being and
if the quorum
is not present at the appointed time, then the meeting shall stand
adjourned for
half an hour and resumed thereafter with the members
present to conduct the
business listed on the Agenda only.
(ii) For special meetings
of the General Body, the quorum shall be on tenth of
the
number of eligible members in rolls for the
time being and if the quorum is not
present at the appointed time then the meeting shall stand
adjourned for half an
hour and resumed thereafter with the members present to
conduct the business
listed on the Agenda only.
(iii) For a meetings of the
Governing Body the quorum shall be one-fifth and
if the
quorum is not present at the
appointed time, then the meeting shall
stand
adjourned for fifteen minutes and resumed thereafter
with the members present
to conduct the business listed on the Agenda only.
17. Fund of the Federation
17.1 The Federation
shall have it's own Fund and all
the receipts of the Federation
through grants,
donations, subscriptions and fees,
as well as income from
investments,
publications and other sources shall
be carried to the Fund and all
payments by the
Federation shall be made there from.
17.2 The Federation will have Banking account in
Kolkata and other such places in the
name of the
federation. The account in Kolkata shall be operated by any two of
the
office Bearers or
any one Office Bearer as may be
decided by the Executive
Committee. Similarly
the bank account at other places
will be operated in such
manner as the Governing
Body may decide.
18. Budget :
18.1 The treasurer shall prepare
the Annual Budget and get it duly approved in the meeting.
18.2 The treasurer may submit supplementary budget, if required at
any time but not more
than four times in
a year.
18.3 The approved budget, shall be operated upon by the
Secretary General.
19. Accounts and Audit :
19.1 The Federation shall cause to
be maintained such books of accounts and other books
in relation
to it's accounts in such forms and in such
manner as may be decided, in
consultation with the
Auditors of the Federation.
19.2 The financial year of the Federation shall be from the 1st of
April of each year to the
31st March of the
following year.
19.3 The accounts of the Federation
shall be audited by such auditors as the Governing
Body may appoint.
20. Amendments in Memorandum
and Rules & Regulations :
Amendments to these Regulations of the Federation may be made
by a three-fourth
majority of the present members and voting
at the meeting convened for the purpose.
21. Removal from Membership and
Suspension of Facilities :
Any
member who has committed a breach of any of the Rules of the
Federation who
has refused or neglected to abide by
any of such Rules or has to clear dues of
the
Federation other than
membership fee within stipulated time or is a habitual defaulter
in the clearance of the
dues of the Federation or who has committed any act which,
in the opinion of the Governing Body
is calculated or likely to bring discredit to
the
Federation may be removed from the
membership of the Federation by a resolution
of two-third of the members.
Provided that no such
resolution shall be passed unless the member
concerned is
informed by a registered letter
(acknowledgements due) at least fifteen days
before
such meeting, of the date, time and place
of the meeting and of the grounds on which
it is proposed to remove him
from membership of the Federation and
is given an
opportunity to explain his conduct to the
Executive Committee in writing or in person
at such meting.
22. Dissolution :
The Federation can be dissolved
in accordance with the provision of the
Societies
Registration Act, and
upon the dissolution of the Federation, if
there shall remain
after the satisfaction of
it's debts and liabilities any property whatsoever, the
same
shall not be paid to or distributed
among the members of the Federation but shall be
given over to
organizations with similar objects in
part or in full according to the
decision of the Governing Body, or, in
default thereof, that of a competent Court.
23. Jurisdiction :
The Jurisdiction of the Society is
Kolkata and it shall sue or be sued in the name of
the Secretary General of the
Federation.

federation do hereby
